December Promotion Terms and Conditions

The following Terms and Conditions ( Terms ) govern participation in the Right Side Up RV December Promotion ( Promotion ). By participating in the Promotion, the purchaser ( Customer ) voluntarily acknowledges and agrees to be legally bound by the Terms set forth herein. These Terms are intended to comply with applicable laws and regulations of the State of Utah.

1. Payment Incentive

Right Side Up RV ( Dealer ) will provide the Customer with a check in an amount equal to the first two (2) monthly payments due under the Customers retail installment contract or loan agreement for the recreational vehicle ( RV ) purchased pursuant to this Promotion.

- The Customer expressly acknowledges that the Customer is solely responsible for making all payments due to the lending institution, including but not limited to the first two (2) monthly payments, regardless of the incentive provided by the Dealer.
- Under no circumstances shall the Dealer be responsible for, nor shall the Dealer assume liability for, any missed, late, or delinquent payments by the Customer, nor any associated fees, penalties, or credit impacts.

2. Financing Requirements

Eligibility for this Promotion is strictly conditioned upon the Customer obtaining financing that meets each of the following criteria:

- A minimum loan term of ten (10) years; and
- An annual interest rate not exceeding ten percent (10%), subject to credit approval ( OAC ).

Failure to secure financing meeting these criteria will render the Customer ineligible for participation in the Promotion.

3. Exclusions

This Promotion does not apply to:

- Consignment units; or
- Any RVs not owned by the Dealer at the time of sale.

4. Promotion Period

The Promotion is valid only for qualifying purchases completed on or before December 31, 2025.

- The Dealer reserves the right to modify, suspend, or terminate the Promotion at any time.
- No modification or termination shall affect purchases contracted prior to the effective date of such modification or termination.

5. Customer Acknowledgment and Required Documentation

As a condition of participation, the Customer shall execute the Dealers official Promotion Disclaimer and Acknowledgment Form at the time of purchase.

- Failure to sign required documentation shall result in ineligibility for the Promotion.

6. Limitation of Liability

To the fullest extent permitted under Utah law:

- The Dealer shall not be liable for any damages, losses, fees, or penalties incurred by the Customer as a result of the Customers failure to comply with the terms of their financing agreement.
- The Dealer makes no warranty, express or implied, regarding the Customers loan approval, interest rate qualification, or payment schedule.
- Nothing in these Terms shall be construed as the Dealer providing financial advice or guaranteeing loan terms.

7. Governing Law

These Terms shall be governed by, and construed in accordance with, the laws of the State of Utah, without regard to its conflict-of-law principles. Any disputes arising under or related to this Promotion shall be adjudicated exclusively in a court of competent jurisdiction within the State of Utah.
